TRIAD BRASIL TREINAMENTOS E INFORMATICA LTDA, henceforth known as “TRIAD CONSULTING”, provides you, henceforth known as “USER”, under license to TRIAD CONSULTING, different services related to the system of agenda, tasks, goals, projects, productivity, among others, henceforth denominated as “NEOTRIAD”, which conditions are foreseen and subject to the provisions on this Term of Service.
The desire from the contracting parties in the contracts entered into through electronic means will commence the moment when the terms of this contract are accepted. Such desire will always be considered as unequivocal and irrevocable.
NEOTRIAD products can be updated or changed by TRIAD CONSULTING.
The terms and conditions outlined on this document and any rules or policies in effect that may be published from time to time by TRIAD CONSULTING applicable to the Services (or to any other service to be later offered by TRIAD CONSULTING) constitute an integral part of the Terms of Service.
The utilization of any Service by part of the User signifies that the user has read and agreed to the latest version of the Terms of Service and the User will automatically be bound to the rules there described. If the User does not agree with the terms of this service contract, he can click on the DO NOT AGREE button to cancel his registration in the service.
The User can access the present Contract (Terms of Service) at any time through the address http://www.neotriad.com/termos_uso.asp. It can be stored by recording its content.
1. SERVICES DESCRIPTION
1.1 Conditions of Use
During the period of this contract, TRIAD CONSULTING will provide the user access to the services of agenda and productivity through its site www.neotriad.com or www.neotriad.com.br . The offer for virtual services is not subject to any type of pre-clearance for simply being offered by electronic means.
The service will be provided through an internet site, by means of user registration, who will receive in his e-mail a link to activate his account in the system. The non-activation of the account within three (03) calendar days will automatically lead to the cancellation of the e-mail registration, making necessary a new registration.
The registration and access to the services is free of charge for a period of 30 (thirty) days, as informed in the registration page and in the activation e-mail sent to the user.
After the free trial period, the user can choose to subscribe to the services by paying a monthly fee by credit card, as per options available at subscription time.
An e-mail will be sent to the user before the end of the trial period listing all available subscription options. In case the user wishes to cancel his account, he can do it at no cost by e-mail or by choosing the option Cancel Subscription in the Configurations in the site.
In case the user does not subscribe to the paid service, but chooses not to cancel his subscription, his account will be automatically deleted from the system after a period of 30 (thirty) days of inactivity, starting from the end of his trial period. All data will be completely deleted from the system, leaving only Name, E-mail, Date of Birth and Sex – information that will be used to send the newsletters, in case this was his chosen option.
1.2 Available Services
The NEOTRIAD site offers the following services to its users: personal contact management; appointment scheduling; tasks; management and control of goals and projects; registration of roles and mission; visualization of weekly appointments and tasks; different productivity graphs; TRIAD CONSULTING; information management; synchronization with Triad Software and Outlook (through independent software for user installation); cell phone access through WAAP technology; time management and productivity searches; task distribution and user meetings; contact data updating via e-mail; productivity tips through newsletters; different notification e-mails; sharing access to your information to other appointed users.
The foundation for the development of the NEOTRIAD site is the personal productivity methodology, based on the book The TRIAD CONSULTING, written by Christian Barbosa and published by Editora Campus – no reproduction, copying, distribution through software in the Internet or any other means of distribution is strictly prohibited without the written express authorization of TRIAD CONSULTING.
TRIAD CONSULTING reserves the right at its sole discretion at any time and from time to time of modifying or discontinuing, temporarily or permanently, the Services offered regardless of reason. The user will be notified in respect to the changes, allowing him to accept them or to cancel his subscription. These changes shall be subject to the Terms of Use.
2. USER RESPONSIBILITY
It is the responsibility of the user the equipments required to access the service and the Internet, such as computer, Internet connection, service provider and Internet browser software.
The user pledges to provide truthful, accurate and current personal information when registering as well as payment details for the agreed amounts, and maintaining all information updated. All transactions deemed as important to TRIAD CONSULTING will have the user’s IP address stored, allowing for his accurate identification.
Providing false information or one belonging to third parties constitutes a crime. If any illegal activity by part of a USER causes any damage or harm to third parties or to NEOTRIAD itself, he will be prompted to answer for his actions.
Under this hypothesis, TRIAD CONSULTING in its sole discretion, reserves the right to terminate the USER’s registration and to discontinue the services made available to him as soon as it becomes aware of the deception or bad faith employed by the USER, barring his future return to the services offered by the site.
In case of suspicion or strong indications of unlawful and/or wrongful use of the services made available by the site by part of any USER, TRIAD CONSULTING can temporarily or definitely suspend access to the electronic address, by means of an e-mail notification or advance notice sent to the USER, as well as refusing a new registration by the USER who violated some of the clauses outline on this instrument. For situations like this, NEOTRIAD is not obliged to refund any amounts already paid by the USER in question.
The USER must have a browser compatible with Internet Explorer 7.0 (or better) in addition to having the pop-up blocker deactivated in order to access the service.
In cases where the USER’s password or personal data security has been compromised, the USER must immediately notify support by e-mail (support@neotriad.com), through the “contact us” form or any other means. Upon notification, our technical team will take all the necessary steps to solve the question. The USER who does not receive a reply from our technical support must repeat the said communication as soon as possible in order to prevent this hazardous from continuing.
Any information provided, typed, synchronized and stored, as well as the use of our services, are under the complete and irrevocable responsibility of the USER, leaving TRIAD CONSULTING exempt from responsibility for its content.
The USER is FORBIDDEN to use the Service to:
• transmit unsolicited e-mail or SPAM messages;
• promote, send, transmit or in any way or form make available any Content deemed unlawful, offensive, threatening, libelous, defamatory, obscene, invasive to privacy, abusive, obscene or otherwise objectionable;
• violate the rights or in any other way harm children and teenagers;
• act on behalf of third parties or create any false identity, or even pretend false relationship to any individual or company, posing as an employee of TRIAD CONSULTING, debate leader, guide or host;
• falsify “headers” or in any other form manipulate identifiers so as to disguise the origin of any Content transmitted through the Service;
• promote, send, transmit or in any other form make available any Content that violates any patent, trademark, business secret, copyright or any other rights belonging to third parties;
• promote, send, transmit or in any other form make available any type of propaganda or unsolicited/not authorized material, such as unsolicited e-mail messages (“junk mail” or “spam”), chain letters, pyramid schemes or any other form of soliciting, except in those areas that are intended for intended for this purpose, as for example, shopping rooms;
• promote, send, transmit or in any other form make available any Content containing viruses or any other codes, files or computer programs with the intent of interrupting, destroying or limiting the functionality of any computer or software, hardware or telecommunication equipment;
• stop the natural flow of a conversation, interfering in the utilization and good use of the SERVICE by other users, or in any other form affect the capacity of other users of using the services here described;
• Interfere with or interrupt the Service, servers or networks connected to the Service, gain or try to gain non-authorized access to the other systems or computer networks connected to the Service, or yet disobey any rule, procedure, policy or regulation on systems or networks connected to the Service;
• violate, intentionally or not, any law or local, state, national or international applicable regulation;
•- secretly monitor or in any other way harass third parties, or, yet, use the service for the purpose of duplication, copying or competition;
• obtain or store personal or professional data or information on other users.
In case of violation of any of these dispositions or any other one in this TERMS OF SERVICE, TRIAD CONSULTING can, at its sole discretion, suspend the user’s registration without having to refund him any amounts already paid as well as prosecute him to the full extent of the law.
3. RESPONSIBILITIES OF TRIAD CONSULTING
TRIAD CONSULTING will spare no efforts to guarantee that the System functions the best possible way. However, considering the nature of the Service, the guarantees provided by TRIAD CONSULTING are limited.
It is the responsibility of TRIAD CONSULTING to maintain the quality and security of the services being offered to its users, excluding events performed by third parties or by exclusive fault of the USER himself, as well as terrorist attacks, viruses or hacking.
TRIAD CONSULTING respects the USER’s time and for this will not provide personal data nor e-mail addresses to third parties for any type of propaganda or spam, in addition to preventing third parties from accessing input data.
TRIAD CONSULTING will provide technical support via e-mail (support@neotriad.com) or through the “contact us” form for the services rendered.
TRIAD CONSULTING pledges to render safe services to its users, adopting the usage of passwords, cryptography and servers installed in a safe environment.
Our backup is carried out on a daily basis at times determined by our technical team. In case of hardware malfunction, leading to the replacement of a server or storage unit, if possible, we will notify the users by e-mail and will recover the data up to the date and time of the last backup performed.
We are not responsible, under any circumstances for damages or losses of the stored data in our servers.
4. PAYMENT
Payment will be monthly and done by credit card informed by the user at registration time.
Service fees will be informed at time of registration and sent to the user on payment confirmation.
Non-payment by the due date will lead to a notice being sent to the user by e-mail, requesting payment or adjustments to the payment data. Non-payment after 15 calendar days after the due date will cause the suspension of services starting free version use.
5. CHANGES TO THE TERMS
TRIAD CONSULTING can update and change the Terms of Service from time to time, and reserves the right to modify, suspend or interrupt temporarily or permanently its provision by means of a simple notice sent to the User informing the above.
In case TRIAD CONSULTING has a reason to modify, suspend or interrupt the Service, as, for example, if a USER breaches the Terms of Service, he will not be notified in regards to such modification, suspension or interruption in SERVICE, which will remain at the sole discretion of TRIAD CONSULTING.
If the Service is modified, suspended or interrupted for any reason, the User might not be able to access the stored information.
6. LIMITATION OF LIABILITY
No information or advice, spoken or written, obtained by the user through TRIAD CONSULTING or the SERVICE will provide any guarantee beyond those expressly declared on this contract.
Considering the limitations resulting from the technical aspect and the motives beyond the control of TRIAD CONSULTING, and, above all, the user’s interest in benefiting from the known advantages offered by the Service – and in the manner that it is offered - the user agrees that TRIAD CONSULTING will not be liable (contractually, extra-contractually or other) for any patrimonial or moral losses, including, but not limiting to, losses occurring from loss or profit, goodwill or of information or other intangible losses, if such losses result from:
• use of the service by the USERS or by third parties;
• interruption, suspension or termination of services;
• cost of obtaining replacement products or services;
• any products or services bought or obtained or messages received through the service.
7. SECURITY AND PRIVACY POLICY
We respect your time, for this reason we possess a privacy and security policy meant to protect our users from the wrongful use of information by third parties.
We will not sell, share, or lend your information to third parties, EXCEPT FOR THE DATA USED FOR E-MAIL SERVICES, WHICH IS PROVIDED BY A PARTNER.
We do not SPAM. All messages sent to the users are related to the rendering of the specified service.
We recommend that you constantly change your password, using more than 05 (five) characters containing letters and numbers. If you have forgotten your password, we will send your password to your e-mail by means of answering a secret question. If your secret question answer is forgotten, please contact us via our support e-mail in order to have the password reset and sent to your e-mail.
Only by way of your express authorization or through judicial authorization, will this information be informed to the requesting authority. If the USER provides his information recorded in the site to third parties, any use of this information by these third parties will be his sole responsibility.
We use modern practices and techniques to safeguard your information in the safest possible way. Our servers are stored at servers located in restricted-access datacenters, where only essential ports are opened to users (http and https), and the access to data banks is done only by technicians hired by our company. Your password is cryptographed and your access is can be done through SSL protocols, guaranteeing the cryptography between data transmission on your computer and our site.
Your credit card number is not stored in our servers, as this procedure is done directly to your corresponding credit card operator.
In case of a judicial action, upon being charged for an action done by a user, we reserve the right to recover judicial costs against those who caused these actions, exercising our rights of recovery.
We cannot be liable for third parties’ usage of the access information provided to them by the users, such as password, e-mail or any other related information.
8. GENERAL DISPOSITIONS
The Terms of Service constitute the integral agreement between the USER and TRIAD CONSULTING and will regulate any usage of the SERVICE by the USER. The USER is also subject to the same terms and conditions when using the SERVICE from the site in any other country or when accessing the services or third party software.
System usage implies in the acceptance of this contract in its entirety with its terms of use.
